Terms of Service
These terms explain the basic rules for working with NivoraHost on web hosting, website design, migration, and website care.
NivoraHost is a brand of Thunder Hoodie LLC, which the owner identifies as registered in Texas, United States. The business mailing address is kept private and will be supplied through the final written agreement where required. Governing law, venue, and the complete legal wording have not been approved by qualified counsel, so this draft is not ready for production use.
1. Agreement to these terms
These terms apply when you use the NivoraHost website or ask NivoraHost to provide a service. Submitting the quote form is an enquiry only. It does not create a service agreement, reserve work or capacity, require payment, guarantee a response time, or require NivoraHost to accept the project. NivoraHost may reply using the email address you provide. A project or subscription begins only after the parties accept a written quote, order, or similar service document.
If an accepted written quote or order sets a specific scope, price, billing period, renewal rule, delivery detail, or refund term, that specific term controls for that service. The Acceptable Use Policy, Privacy Policy, and Refund Policy also form part of these terms where relevant.
2. Quotes, orders, and service scope
NivoraHost offers web hosting, website design, website migration, ongoing website care, on-page SEO, and logo or graphic design. A published price applies only to its listed base scope; a package marked “from” requires review before the final price is set. Sending a quote request does not accept a price or scope. The accepted written quote or order should identify the work, assumptions, client inputs, price, billing schedule, renewal terms, and any third-party costs.
A request outside the accepted scope needs a written change description, price, and schedule effect. Extra work starts only after the client accepts that change. A revision round means one consolidated feedback list and does not add a new page, concept, feature, or direction.
A website-design start window is confirmed after the required deposit, final content, access, and project approval arrive. Client feedback is due as one consolidated list within 5 business days unless the order states another review window. Late content, access, feedback, or approval pauses the schedule and a new available date is confirmed in writing. A specific launch date is promised only when the accepted order says so.
3. Your responsibilities
You are responsible for providing accurate instructions, lawful content, working access details, and approvals needed for the service. You must have permission to use the names, contact details, text, images, software, domains, and other materials you provide, including another person's information.
Do not submit passwords, access keys, hosting or domain credentials, payment-card details, or sensitive personal information through the quote form. If access is later required for agreed work, use a suitable sharing method confirmed with NivoraHost. You should keep independent copies of important website content and business data unless an accepted order clearly assigns a backup task to NivoraHost. Keep account credentials secure and tell NivoraHost promptly if you suspect unauthorized access or a material error.
4. Payments, billing, and renewals
All prices and invoices use US dollars (USD). Displayed prices exclude tax; required tax is added. Domains, licences, paid software, stock assets, advertising spend, supplier overages, and other third-party costs are not included unless the written order says they are.
A fixed-fee project uses one-time project billing: a 50% deposit books the work and the remaining 50% is due when the agreed work is delivered for approval, before launch, migration cutover, or final file handoff. The written order confirms whether payment is made by a Stripe invoice or payment link, PayPal, or other agreed invoice instructions. Monthly services follow the separate recurring-billing rule.
Invoices are due within 7 calendar days unless the written order states another date. Required cleared payment, content, and access must arrive before work or a tentative date is reserved. Overdue project work may pause, and an overdue recurring service may be suspended after reasonable notice. No late fee applies unless it was accepted in writing.
Hosting, website care, and monthly SEO are month-to-month services billed in advance. The next month renews when its renewal invoice is paid; this website does not promise automatic card charging. The same public list price applies at renewal, and NivoraHost will give at least 30 days' written notice before a future list-price change.
Please email NivoraHost first if an invoice or payment appears wrong. A payment dispute or chargeback does not by itself cancel an order or erase an amount properly due. NivoraHost may provide the accepted order, invoice, delivery record, and communications to the payment provider, subject to applicable law. Refunds and credits are handled under the accepted written terms and the Refund Policy.
5. Ownership, licences, and access
The client keeps ownership of material they provide. Rights to approved original project deliverables transfer after full payment. NivoraHost keeps its pre-existing tools, reusable code, methods, templates, and rejected concepts, while granting the client the use rights stated in the order. Third-party software, fonts, images, and other assets remain under their own licences.
Any handover should state what files and account access are included. You remain responsible for accounts registered in your name and for protecting credentials after they are returned or shared.
6. Acceptable use
You may not use NivoraHost services for unlawful activity, abuse, harmful code, unauthorized access, deceptive messages, or activity that materially disrupts systems or other users. More detail is available in the Acceptable Use Policy.
NivoraHost may investigate credible reports and take proportionate protective action. This can include asking you to correct an issue, limiting affected access, suspending a service, or ending it when necessary. Urgent action may be taken when there is a serious security, legal, or operational risk.
7. Domains and third-party services
A project may rely on registrars, hosting infrastructure, email providers, software vendors, content libraries, or other third parties. Their availability, pricing, licence terms, and privacy practices are outside NivoraHost's direct control.
Third-party costs need written approval before purchase unless the accepted order already authorizes them. A supplier charge is refundable only to the extent the supplier returns it. NivoraHost cannot promise that a third-party product will remain available or unchanged.
8. Service limits and responsibility
NivoraHost will provide the agreed services with reasonable care based on the written scope. Websites, networks, and third-party systems can still experience errors, interruptions, attacks, compatibility changes, or data loss. Unless specifically agreed in writing, no uninterrupted service level, search ranking, sales result, or security outcome is promised.
Any warranties, remedies, and limits of liability must be read subject to rights and responsibilities that applicable law does not allow either party to exclude. The final version of this section needs local legal review so that it is fair, clear, and enforceable in the relevant jurisdiction.
9. Suspension, cancellation, and termination
Email a cancellation before the next monthly due date to stop the next renewal. The paid current month continues through its service period when technically and legally possible. Used time and the current monthly period are not prorated or refunded unless the written order or applicable law requires it.
A project deposit is applied to the project and is not automatically forfeited. If a project is cancelled, NivoraHost deducts completed work at the agreed package or milestone value and approved non-recoverable commitments, then returns any remaining prepaid balance. Delivered or approved work is not normally refundable. If NivoraHost cannot deliver an agreed item, the remedy may be correction, replacement work, a revised scope, credit, or refund of the undelivered part.
NivoraHost may suspend or end affected services for non-payment, serious misuse, security risk, unlawful activity, or a material breach that is not corrected after reasonable notice when notice is practical. Access, files, transfers, and data handling follow the accepted order, the Refund Policy, and applicable law.
10. Changes and contact
NivoraHost may update these terms when services, practices, or legal requirements change. The version date at the top will be revised. Material changes should be communicated in a reasonable way where an ongoing service is affected.
Questions about these terms can be sent to info@nivorahost.com. For a service question, include the relevant quote or order reference if you have one.
